VisionWave Holdings Inc. has signed a term sheet for a proposed joint venture with Lucky Whale Production Limited to develop a Tier IV data center campus in Beth Shemesh, Israel. The project is planned as an underground, hardened structure engineered to mission-critical specifications. Phase 1 is contemplated to include approximately 15,000 square meters across 10 data halls, targeting 10.5 MW of IT load with a 2N redundant topology, aiming for Tier IV certification by the Uptime Institute. Key features include protection against direct long-range threats, dual 2 × 16 MVA power feeds with 24-hour autonomous on-site fuel and water reserves, direct liquid cooling (DLC) provision for AI/HPC workloads, and a carrier-neutral campus with two physically separated Meet-Me Rooms. The location is adjacent to the Galilee Medical Center. Statutory excavation permits are reported to be in place. VisionWave would hold an effective look-through interest of 51% in the project. The transaction is subject to due diligence, definitive agreements, and various approvals, with no assurance of completion. VisionWave would commit to arranging the full capital required for construction and commissioning.
